• graficodo provides graphic design services, including but not limited to logo design, branding, illustration, and website design (“Services”).
• We will provide the Services to you as described in the scope of work agreed upon between you and graficodo.

2. Payment:

• You agree to pay the fees for the Services as outlined in the proposal or agreement provided by graficodo.
• Payment terms, including deposit requirements, installment payments, and final payment deadlines, will be specified in the proposal or agreement.

3. Intellectual Property:

• graficodo retains all rights, title, and interest in and to any original works created in the course of providing the Services, including but not limited to designs, illustrations, logos, and other creative assets (“Deliverables”).
• Upon full payment of the fees, graficodo grants you a non-exclusive, perpetual, worldwide license to use the Deliverables for the purposes outlined in the scope of work.

4. Client Responsibilities:

• You agree to provide timely feedback and information necessary for graficodo to complete the Services.
• You are responsible for obtaining any necessary permissions, licenses, or rights for content provided to graficodo for use in the Services.

5. Confidentiality:

• Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the Services.
• graficodo may disclose confidential information to its employees or subcontractors solely for the purpose of providing the Services, provided that they agree to keep such information confidential.

6. Limitation of Liability:

• To the extent permitted by law, graficodo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Services.
• In no event shall graficodo’s total liability exceed the total fees paid by you for the Services.

7. Termination:

• Either party may terminate the agreement for Services upon written notice if the other party breaches any material term of the agreement and fails to cure such breach within thirty (30) days of receiving written notice thereof.
• Upon termination, you shall pay graficodo for all Services rendered and expenses incurred up to the effective date of termination.

8. Governing Law:

• These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.
